1. Your agreement with Opmeris
These terms form an agreement between Opmeris and the person or business using our services. By accessing the website or installing or using an app, you agree to these terms. If you act for a business, you confirm that you have authority to bind it. You must be legally able to enter into this agreement. If you do not agree, do not use the services.
A separate written agreement signed by you and Opmeris takes precedence over these terms for any conflicting provision within its scope. Mandatory rights under applicable law are not excluded.
2. Our services and app permissions
Opmeris provides focused commerce software. Repeat supports Buy Again reordering, merchant-configured replenishment rules, and reminder workflows for Shopify stores. Features depend on the app’s configuration, the permissions you grant, Shopify functionality, and any connected providers.
Each Opmeris app is independently authorized. Installing one app does not install another, grant it permissions, or give it access to another app’s Shopify credentials. You control installation and removal through Shopify. Roadmap descriptions, including upcoming products, are statements of direction and are not contractual commitments to deliver a feature or product.
Opmeris is an independent service provider. Shopify is a separate company; your Shopify account remains subject to Shopify’s terms.
3. Merchant responsibilities
You are responsible for your store, the accuracy of the information you supply, and the people you authorize to use the services. Keep account access and provider credentials secure, and promptly tell us about suspected unauthorized access.
- Review your product eligibility, replenishment intervals, exclusions, sender details, and other settings before enabling a workflow.
- Obtain the permissions, notices, and customer consents required for your use of customer data and electronic messages. Honor unsubscribe requests and applicable marketing rules.
- Maintain an appropriate privacy notice for your store and respond to customer data requests. You instruct us to process customer information only for your authorized use of the app.
- Ensure your products, store content, pricing, inventory, orders, and fulfillment comply with applicable law and Shopify’s policies.
Replenishment timing supports your workflow and does not establish that a customer needs or has agreed to receive a product. Reorders remain subject to your store’s checkout, availability, prices, and customer choices.
4. Acceptable use
You may use the services for lawful business purposes within their intended functionality. You must not attempt unauthorized access, interfere with security or availability, introduce malicious code, send unlawful or unsolicited messages, misuse another person’s information, or infringe intellectual property rights. You must not resell the service or bypass access restrictions without our written permission.
We may investigate misuse and restrict activity as reasonably necessary to protect users, stores, providers, and the service.
5. Fees, billing, and cancellation
Any applicable price, billing interval, usage limit, or trial condition is disclosed before you approve a paid service. You are responsible for charges you approve and applicable taxes. Where billing is through Shopify, Shopify’s billing processes and the subscription terms shown at approval apply.
We will disclose changes to paid terms before they take effect and obtain approval where required. No price or paid plan is established solely by a roadmap or marketing description. Charges for third-party services, including your email provider, are separate and remain your responsibility.
You may stop using an app and uninstall it through Shopify. Uninstalling prevents future app use but does not cancel charges already incurred or subscriptions with other providers. Refund requests can be sent to hello@opmeris.com; any refund is subject to the approved plan terms and applicable law.
6. Your data and privacy
You retain your rights in the store information, content, and customer data you provide or authorize us to access. You grant Opmeris the limited right to process that information as needed to provide, secure, and support the services under your instructions and these terms. You confirm that you have the necessary rights to provide those instructions.
Our privacy policy describes information collection, permitted uses, providers, retention, cookies, and privacy rights. We do not gain permission to reuse app-authorized customer data across products simply because the products share the Opmeris brand.
Contact us for assistance with access, correction, export, or deletion requests. Uninstall and deletion handling follows the privacy policy, applicable Shopify processes, and legal retention obligations.
7. Intellectual property
Opmeris and its licensors retain rights in our software, website, brand, designs, and documentation. Subject to these terms, we give you a limited, non-exclusive, non-transferable right to use the services for your business during your authorized use. This does not transfer ownership of the services or our trademarks.
If you send us feedback, you permit us to use it to improve our products without an obligation to compensate you. This permission does not authorize us to disclose your confidential information or use personal data outside the privacy policy.
8. Third-party services
Shopify and any email or other providers you connect operate under their own terms and privacy policies. You are responsible for maintaining the accounts and approvals those connections require. We are not responsible for their independent acts, charges, outages, or changes. Changes to their APIs, policies, or availability may affect app functionality.
Links to third-party websites are provided for convenience and do not transfer responsibility for their content or services to Opmeris.
9. Availability and changes
We maintain and improve the services over time. Maintenance, security measures, technical failures, and provider interruptions may affect availability. We do not promise uninterrupted or error-free operation, a particular volume of sales, or any specific commercial result.
We may change features or discontinue a service. For changes that materially reduce an active paid service, we will provide reasonable advance notice where practicable and explain available cancellation options. Urgent security or legal changes may require immediate action.
10. Suspension and termination
You may end your use at any time. We may suspend or terminate access for a material breach of these terms, non-payment of approved charges, a legal requirement, or a security risk. Where reasonable and lawful, we will explain the issue and give you an opportunity to resolve it.
After termination, your right to use the relevant service ends. Accrued payment obligations and provisions intended to survive, including ownership, liability limitations, and dispute handling, remain in effect. Information is handled in accordance with our privacy policy.
11. Warranties and liability
To the extent permitted by law, the services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You remain responsible for reviewing settings and maintaining records appropriate to your business.
To the extent permitted by law, Opmeris is not liable for indirect, incidental, special, consequential, or punitive losses, including lost profits or business opportunities. Our aggregate liability arising from the services is limited to the fees you paid Opmeris for the affected service during the twelve months before the event giving rise to the claim.
These limitations do not exclude liability that cannot lawfully be excluded or limited, including liability for fraud, willful misconduct, or any non-waivable statutory rights.
12. Questions, disputes, and updates
If a concern arises, email hello@opmeris.com so we can try to resolve it directly. These terms do not require arbitration or waive any right to bring a claim before a court with jurisdiction under applicable law.
We may update these terms. We will publish the revised terms with an updated effective date and provide notice of material changes where required. Changes apply prospectively. If you do not agree to revised terms, stop using the services before they take effect.
